Understanding Legal Agreements in the Music Industry
Taking one step back really helps us think about all contracts. It's important to have some basic tools for examining any legal agreements. Often, I've seen artists get confused by contracts that seem to be written in legalese. This leads them to put their heads in the sand, thinking, "I don't really understand this, but we've been offered a deal, and we just want to sign it."
Key Considerations Before Signing
Management might say, "Oh, this is a great manager!" and they rush to sign the management agreement without really thinking about it.

Identify the Parties:

First of all, consider who the parties to the agreement are.

Who's actually entering into the contract? This sounds straightforward, but it can get complicated. For example, I had a conversation today where someone runs a company but is also entering into an agreement under another guise.

So, are you contracting with that company or with this manager individually?

Clarify What You're Agreeing To:

Many bands jump at the chance to sign any deal without understanding what they're agreeing to.

It's always worth going through what we call a heads of agreement phase. This is where you outline in bullet point form or very simple terms exactly what has been agreed upon.

Management Agreements Breakdown
In a management agreement, consider:
- Who are the parties involved?
- What is each party going to do for the other?
Breaking this down before you reach the contract stage is crucial.
The Role of Consideration
An important aspect that makes contracts binding is what we call consideration, a legal term for something of value being exchanged.
- It's particularly vital for artists to recognize their worth, as many tend to undervalue themselves.
- Often, they think, "I just want to work with this manager," and agree to terms like, "I'll let them manage me exclusively for the world," without contemplating what they are giving up.
Understanding Reciprocal Value
- What is the manager going to do for you?
- What services will the label provide?
By starting with these questions, you establish a solid strategy for reviewing any legal agreement. This approach sets a good foundation before moving forward.
