Understanding Key Terms in Music Contracts

Okay, so right now, I just want to take some words that often come up, and I would like to understand them better. Let's also have some fun with a quiz!

1. Notwithstanding

Does that basically mean "except"?

  • It tends to mean there's an exception to the rule that's just been described.
  • In other words, what we've just said stays in place, but the exceptions to that are to follow.

2. Recoupable

Recoupable means:

  • It's a payment that's made to you that you pay back incrementally.
  • Payments you receive from something else go towards paying back that loan, essentially.

Clarification:

  • It differs from a traditional loan in that if the business does not make any money, then you don't have to pay it back.
  • You often hear "recoupable, not returnable," which indicates that, yes, it's yours. You must pay the payment irrespective of what happens.
  • However, it's not like a mortgage that you have to pay back.
  • The idea is similar in that you repay it incrementally, but it means your earnings go towards that payment. It's not just a gift.

3. Commission

In this context, commission usually means:

  • The payment given to someone, like a manager.
  • The commission being their share of your income that is to be paid to them.

4. Calling Off

What does "calling off" mean?

  • It could mean a lot of things; here, it means a period for thinking.
  • It's akin to asking, "Did you really mean it?"
  • In retail arrangements, you have 14 to 28 days to decide if you want to return something.
  • In this context, it's a bit like a trial period.

5. Tour Support

What does "tour support" mean in the context of a management contract?

  • It refers to the provision of support, usually financial support, to enable you to tour.
  • Sometimes it includes resources, but typically, it's the payment to cover your ability to tour.

6. 360 Contract

What does "360" mean?

  • A 360 contract rarely appears in a contract, but it is often covered by the contract.
  • When people mention a 360 contract, it means it covers everything you do.
  • This includes not just the music you create, but also merchandise, live work, and everything around you as an artist.

Clarification:

  • Wouldn't this typically be in a management contract?
  • Yes, in my experience, managers do take a share, while record contracts rarely seem to be 360.
  • However, they did become fashionable a few years ago, but many believe they've gone out of style.

Advice on Contracts

To reach our diminuendo, what are the golden bits of advice?

  • Business Environment: Always do business in a formal setting or office.
  • Seek Advice: Get some advice, whether that's legal, accounting, or from a trusted person to accompany you in these conversations.
  • Take Your Time: Never rush into something you don't fully understand or feel pressured by time.

If a contract is worth offering, it's worth understanding!
