Whether it's the Smiths or any other band, various fallouts can arise when money is involved, especially if conversations haven't happened in advance. Many creative people find it challenging to have these business discussions.
Why a Band Agreement is Fundamental
A band agreement is essential for all band members. It serves two primary functions:
- Legal Clarity: It displaces what's implied under legislation. In the UK, the Partnership Act of 1890 dictates certain responsibilities among band members.
- Profit and Loss Sharing: By definition, a partnership involves two or more people working together to make a profit. This means:
- All members are jointly and severally liable.
- Profits and losses are typically shared equally.
This can be surprising, especially for the member primarily responsible for songwriting, as implied sharing means any income generated should be divided equally.
Documenting Agreements
The core purpose of having a band agreement is to set out how the band operates. By having clear guidelines in writing, you can ensure that:
- When money comes in or issues arise, everyone knows the rules.
- Simple decisions on ownership and responsibilities are documented.
Key Considerations for the Agreement
Here are some essential points to think about when drafting your band agreement:
- Decision-Making: How will decisions be made within the band?
- Ownership: Who owns various elements, such as:
- Songs
- Recordings
- Equipment
- Band's name
- Logos
Understanding ownership is crucial, especially in the event of a breakup.
- Membership Changes: Address how decisions will be made regarding:
- New members joining the band
- Current members leaving
Without a band agreement, issues can arise, such as someone feeling wronged when they are excluded.
Starting the Conversation
It might feel awkward, but having an initial discussion is sensible. You could keep it light and informal, perhaps over drinks, and discuss:
- Decision-making for record or publishing deals
- Ownership of band assets
- Processes for dealing with new or leaving members
Keeping it straightforward from the beginning can prevent potential conflicts later.
